A person registered in the Program who refers or promotes services, businesses or stores is a “Partner (Agency)”; a company or merchant listing a business, store or project is an “Advertiser”. This Agreement takes effect when a registrant accepts these Terms and registers for the Program, regardless of whether acceptance is given in writing, electronically or online. The Program is exclusively for business use, and applications for personal use are not permitted.

The Program includes the listing and promotion features for corporate promotional projects, stores and similar businesses described in Article 9-2 (the “PR Listing Feature”). The special provisions of Article 9-2 prevail over other provisions in relation to the PR Listing Feature.

Article 2 Electronic Delivery of Contract Documents

By confirming consent during the application process and signing on their device, applicants shall be deemed to have consented in advance to electronic delivery under the preceding paragraph.

Delivery is completed when the Company sends the confirmation email and it reaches the applicant’s inbox. Delivery remains effective even if the applicant cannot view the email due to spam settings, insufficient mailbox capacity, rejection settings or similar circumstances.

Applicants shall properly maintain an email address capable of receiving messages and promptly notify the Company of any change.

The Company shall retain records including the time of consent, IP address, device information, transmission logs and storage URLs to verify consent, transmission, receipt and file integrity.

Article 3 Right to Refuse Provision of the Program

If the Company determines, in its sole discretion, that a Partner or Advertiser completing registration for the Program is unsuitable as an affiliate or platform user, the Company may refuse to provide the Program or suspend its services without prior notice. The Company may determine suitability independently under its own criteria, and participating Partners and Advertisers shall not object to that determination.

The Company may, without prior notice, cancel the registration of any Partner or Advertiser that it determines, in its sole discretion, falls within any of the following categories. Registered Partners and Advertisers shall not object to that determination. The Company may refuse to provide any services or programs, including the Program, to such Partners or Advertisers.

The business is operated by a person with limited legal capacity, such as a minor, except a person aged 18 or over who has obtained the consent of their legal representative.

The content of a Partner’s affiliate activities, including online activities, changes substantially from the category assigned by the Company.

The Company determines that the person has violated or may violate laws or regulations.

A registered participant conducts affiliate activities treating itself or its own company as the customer.

The Company determines under its criteria that the person is unsuitable as a Partner in the Program.

Article 4 Non-disclosure of Reasons for Decisions

The Company may decide, in its sole discretion, whether to provide the Program to a Partner or Advertiser and shall, in principle, not disclose the reasons for its decision. Partners and Advertisers shall not object to decisions made under the Company’s criteria. The Company shall not be liable for any disadvantage suffered by a Partner, Advertiser or third party as a result of such action.

Article 5 Application and Notification Information

When completing registration for the Program, Partners and Advertisers shall provide accurate information on the matters separately specified by the Company, using the method separately designated by the Company.

If registered information changes, Partners and Advertisers shall, at their own responsibility, update it to accurate information through the administration screen or by email. Changes to a name, including a corporate name, or to the contracting party shall be notified accurately using the method and form designated by the Company.

The Company shall not be responsible for any disadvantage resulting from inaccurate or false registration information under this Agreement. The Partner or Advertiser shall bear all responsibility.

Partners shall register a bank account for receipt of remuneration in an account name matching the individual or corporate name registered as the contracting party.

Only ordinary deposit accounts are accepted. Current accounts cannot be registered.

Article 6 Representations and Undertakings

Partners and Advertisers represent and undertake to the Company as follows.

Neither they nor their officers, staff, agents, servants or other employees are, have been or shall become members of an organized crime group, associate members, organized crime-related companies, corporate extortionists, persons using social movements as a pretext for unlawful demands, special intelligence-based criminal groups or equivalent persons (collectively, “Antisocial Forces”).

They do not have, have not had and shall not have any of the following relationships with Antisocial Forces or persons closely connected with them (collectively, “Antisocial Forces and Related Persons”).

A relationship in which Antisocial Forces and Related Persons control their management.

A relationship in which Antisocial Forces and Related Persons are substantially involved in their management.

A relationship involving the provision of funds, benefits or other assistance to Antisocial Forces and Related Persons.

A relationship in which they are considered to use Antisocial Forces and Related Persons to obtain an improper benefit or cause damage to a third party.

Any other socially reprehensible relationship with Antisocial Forces and Related Persons.

Partners undertake not to engage in any of the following acts, whether directly or through a third party.

Violent demands or violent affiliate activities.

Unjust demands or affiliate activities exceeding the scope of legal responsibility.

Threatening statements or conduct, or the use of violence, in connection with transactions.

Spreading rumors or using deception or force to damage the creditworthiness of, or obstruct the business of, the Company or its cooperating third parties.

Allowing Antisocial Forces and Related Persons to use their name.

Any act equivalent to the foregoing.

If the Company reasonably determines that a Partner or Advertiser has breached either of the preceding two sets of undertakings, it may immediately suspend or terminate all or part of the Program, notwithstanding any other provision, without notice or demand and without tendering performance of its own obligations.

The Partner or Advertiser shall compensate the Company for any loss incurred as a result of the preceding paragraph.

Article 7 Remuneration

Scope of the Referral Scheme

1. Referral remuneration arises only for first-tier referrals. No remuneration arises from second-tier or subsequent referrals.

2. Referrals are voluntary and are not a requirement, obligation or principal performance indicator for activities.

3. Partners shall not make misleading statements, such as claims that referrals alone generate continuous income.

4. Remuneration varies by service and shall be the amount shown on the Partner-only screen. The Company may change such amounts as necessary, and changes shall become effective upon being displayed on that screen.

Remuneration arises when a customer referred by a Partner (a “Referred Customer”) applies to use a service covered by the Program, correctly enters the Partner’s referral tracking information registered with the Company (Agent ID), and satisfies the first paragraph of Article 8 (Payment of Remuneration). The following exceptions apply.

No remuneration arises for the month in which a Referred Customer cancels the service, including the month of registration.

No remuneration arises if a Referred Customer enters incorrect registration information when applying for the service.

No remuneration arises if a Referred Customer has an unpaid balance.

No remuneration arises if a Referred Customer does not cooperate in implementing the service.

If a Referred Customer initiates an improper chargeback or similar action, the full remuneration attributable to the chargeback shall be deducted from the following month’s remuneration.

If no activity is observed for three months or more and activity records such as logins to My Page cannot be confirmed, eligibility to participate shall lapse and remuneration relating to existing Referred Customers shall also be invalidated.

If an Advertiser fails or neglects to remit Partner remuneration to the Company, the Partner shall, in principle, claim payment directly from the Advertiser. As the Company’s responsibility is limited to providing a platform for payments and remuneration calculations, claims against the Company are, in principle, not permitted.

No remuneration arises if incorrect or false information is entered in the Program registration information.

No remuneration arises if a Partner fails to pay Program fees or cancels another service that enables free use of the Program. Even if payment is subsequently made, remuneration cannot be carried forward to the following month if payment occurs after 23:59 on the payment date.

No remuneration arises if a Partner applies to cancel its registration for the Program.

No remuneration arises if a Partner is in arrears with membership fees or there is a problem with payment processing.

This Article does not apply to PR Remuneration under Article 9-2. PR Remuneration is independent of the Company’s remuneration scheme and is governed by that Article and the individual agreement between the PR Business and the Agency.

Article 8 Payment of Remuneration

Remuneration becomes eligible to accrue when the Company confirms payment by credit card or bank transfer from the Referred Customer. The recurring payment date is the 11th day of each month.

Where deliverables are involved, remuneration becomes eligible to accrue upon submission of a delivery completion report. Even if payment has been made or confirmed, remuneration cannot be paid without that report because performance of the service between the Company and its service user has not been established.

If the first paragraph of Article 8 (Payment of Remuneration) is satisfied, remuneration shall, in principle, be calculated at month-end and paid by the 15th day of the following month. A flat bank transfer fee of JPY 480 applies to each payment. Payment dates may change without prior notice to Partners.

Remuneration may be invalidated if registration information supplied upon registration is incomplete or incorrect, or if platform usage fees or membership fees are overdue or unpaid.

Remuneration varies by service sold and is set between 5% and 95% of the service sales price. These rates may change from time to time depending on application and usage circumstances.

This Article does not apply to PR Remuneration under Article 9-2. PR Remuneration is independent of the Company’s remuneration scheme and is governed by that Article and the individual agreement between the PR Business and the Agency.

Article 9 Billing of Advertisers

This Article applies to existing Advertiser transactions processed through the Company’s system. Article 9-2 governs remuneration, listing fees and other charges relating to the PR Listing Feature.

Advertisers shall pay Partners the remuneration calculated under the conditions agreed in advance between the Company and the Advertiser and displayed on the platform, using the Company and its platform for disbursement. Funds shall be calculated at month-end and transferred to the account specified on the platform by the 5th day of the following month, with all transfer fees borne by the Advertiser. Disbursement to Partners shall be made through the Company’s system.

In principle, remuneration conditions may not be changed after publication without agreement among the Company, the Platform Owner and the Advertiser. Even if conditions are changed, payments to existing Partners shall be made under the conditions applicable at the time of referral.

Advertisers shall pay the Company and the Platform Owner the system usage fees calculated under the conditions agreed in advance between the Company and the Advertiser and displayed on the platform. Fees shall be calculated at month-end and paid by bank transfer to the account specified on the platform by the 5th day of the following month, with all transfer fees borne by the Advertiser.

Advertisers shall pay an initial platform listing fee or planning fee to the Platform Owner. Listings shall run for one year, subject to the Company’s discretion regarding publication. Advertisers may request removal by notifying the Company in writing or by email, but may not claim any refund of platform listing or planning fees.

Advertisers shall continue paying Partner remuneration indefinitely for customers acquired through Partners and shall, at their own responsibility, continue managing and tracking reservations and customers indefinitely, regardless of whether the platform is used. Use of the platform may be suspended in the event of repeated remuneration calculation errors, fraudulent calculations or problems with customer remuneration tracking caused by the Advertiser’s negligence or operating errors.

The Company shall not be responsible for overpayments to Partners caused by an Advertiser’s miscalculations. The Partner and Advertiser shall resolve the matter between themselves using Partner information disclosed by the Company.

Article 9-2 Special Provisions for Listing and Promoting PR Projects and Stores

1. Definitions and scope

The PR Listing Feature allows corporate promotional projects and information on products, services, stores and similar businesses to be listed and provides Partners with opportunities to earn remuneration from listing businesses by promoting them through social media, blogs, videos and other media. In this Article, a company or store operator that lists a project or requests promotion is a “PR Business”; a Partner conducting such activities is an “Agency”; a project-specific contract entered into directly between them is an “Individual Contract”; and money or other consideration payable under an Individual Contract is “PR Remuneration”. Provisions applicable to Advertisers apply to PR Businesses, and provisions applicable to Partners apply to Agencies, insofar as they do not conflict with this Article.

2. Role of the Company

The Company and the Platform Owner act solely as providers of a platform for listing information on projects, stores and similar businesses. They are not parties to an Individual Contract, commissioning clients, contractors, legal representatives, employers, persons liable to pay remuneration or guarantors. They have no obligation to negotiate terms, conclude contracts, manage performance, inspect or accept deliverables, calculate remuneration, collect funds, advance payments or guarantee payment. The designation “Agency” does not confer authority to enter into contracts or incur obligations on behalf of the Company or a PR Business.

3. Direct discussion and agreement on terms

Before commencing activities, the Agency shall discuss the project thoroughly with the PR Business and directly confirm and agree, as relevant to the project, the scope of work; posting media, frequency, deadlines and publication period; prior review and revisions; performance conditions, measurement and acceptance; remuneration amount, currency, taxes, expenses, transfer fees, payment deadline and method; cancellation and refunds; removal of posts; secondary use; and intellectual property rights. Both parties shall retain their agreement in a recordable form, such as email, and record mutually agreed changes. Notification to the Company or publication on the platform alone does not constitute the Company’s consent to or guarantee of the formation or amendment of an Individual Contract.

4. Direct payment of PR Remuneration

PR Remuneration shall be transferred directly by the PR Business to the account designated by the Agency in accordance with the Individual Contract. The PR Business bears the payment obligation. The parties shall handle invoicing, payment confirmation, tax treatment and verification of bank details directly between themselves. The Company and the Platform Owner shall not receive, hold or remit PR Remuneration and shall not advance, reimburse or guarantee amounts in respect of delayed or missing payments, reductions, refunds or transfer errors.

5. Separation from the Company’s remuneration scheme

PR Remuneration is separate from the referral remuneration, service sales remuneration and Advertiser settlements under Articles 7 through 9 and is entirely independent of the Company’s remuneration scheme. The remuneration rates, closing dates, payment dates, JPY 480 transfer fee and perpetual payment conditions in those Articles do not apply to PR Remuneration. Restrictions on remuneration for free membership or cancellation under Article 10, refusal of payment under Article 12 and other non-accrual or invalidation provisions in these Terms do not automatically extinguish or alter rights or obligations concerning PR Remuneration under an Individual Contract. The Company shall not set off or apply PR Remuneration against its usage fees or other claims.

6. Listing information and fees

PR Businesses shall keep listing information, participation conditions and remuneration conditions accurate and current and warrant that they possess the rights and authority necessary to publish listings, request work and provide materials. A listing does not guarantee applications, contracts, posts, sales or other results. Any listing fees or usage fees payable to the Company or the Platform Owner for the PR Listing Feature shall be governed by separately disclosed and agreed amounts, listing periods, payment terms and cancellation terms. Such fees are separate from PR Remuneration and do not include any payment guarantee.

7. Compliance with laws and platform rules

PR Businesses and Agencies shall comply with applicable laws concerning advertising, representations, personal information and intellectual property, and with the rules of the media they use. Posts constituting advertising shall include clear disclosures, such as “Advertisement” or “PR”, enabling ordinary viewers to recognize them as advertising, together with required advertiser information and paid-partnership disclosures. False or exaggerated representations, statements presented as firsthand experiences that did not occur, infringement of rights and incentivized reviews prohibited by the relevant platform’s rules are prohibited. An Individual Contract does not waive these compliance obligations.

8. Dispute resolution and exclusion of liability

Complaints, disputes and losses arising between a PR Business and an Agency, or between either of them and a third party, concerning negotiations, contracts, post content, acceptance, remuneration, cancellation, infringement or other aspects of PR projects shall be resolved directly by the relevant parties at their own expense and responsibility. The Company and the Platform Owner shall have no responsibility to arbitrate, negotiate on behalf of a party, collect debts, make refunds, pay damages or otherwise resolve such matters. This exclusion does not apply to loss caused by the Company’s or the Platform Owner’s own intentional misconduct or gross negligence, or to liability that cannot be excluded under applicable mandatory law.

9. Removal of listings and survival of Individual Contracts

If the Company reasonably determines that there is a breach of these Terms, infringement, a false listing or a safety concern, it may request correction, hide or remove a listing, or restrict use of the PR Listing Feature. Such measures, withdrawal from the Program, suspension or termination of the Program, or amendment of these Terms do not automatically terminate or amend existing Individual Contracts. The parties shall perform outstanding obligations, including unpaid PR Remuneration, in accordance with their Individual Contract and applicable law. Paragraphs 4, 5 and 8 of this Article continue to apply for as long as the relevant obligation or dispute subsists.

Article 10 Membership Fees

The Program is generally available free of charge, but membership fees for Partners wishing to use certain features are as follows. The obligation to pay arises when, after applying for the Service and being approved by the Company following its review of their activities, a Partner upgrades online. No fee arises unless the Partner makes the upgrade itself.

Membership fees shall be paid by credit card. Payment in Japanese yen is based on a six-month contract of JPY 19,800 × 6 months = JPY 118,800. Payment in US dollars is USD 140 per month. If a currency other than the Partner’s own currency is selected, the Partner shall check foreign exchange charges, which vary by card issuer, at its own responsibility.

The minimum service term is six months from the first chargeable date or upgrade date.

During the minimum term, Partners may not cancel or reduce the number of service units used.

The service agreement automatically renews on the day following expiration of the contract term and continues to renew thereafter. Partners wishing to cancel shall complete the Company’s prescribed cancellation procedure through their dedicated administration screen.

If an upgraded Partner cancels, no service sales remuneration arises for the month of cancellation and remuneration already accrued shall also be invalidated.

The Program also offers free membership. Free membership applies only where the Partner meets the Company’s selection criteria under the revenue-sharing scheme stated on its website and engages in certain limited activities. Such Partners acknowledge in advance that no service sales remuneration arises. If a free member subsequently wishes to upgrade, the paid membership fees above apply.

Once membership fees have been paid, no refund or cancellation is permitted for any reason. This is because the nature of the Service requires initial expenditure immediately after registration, including staffing, server configuration, call center assistance, assignment of a manager and individualized support.

If the credit card in the registration information is valid, the initial membership payment shall, in principle, be processed within three days of the application date. The initial month is charged in full without proration.

Payment is made once on the application date, followed by automatic payments on the 11th day of every month, including the application month. Two payments may therefore occur in the initial month, for example, an application on the 9th followed by a second payment on the 11th of that month. Cancellation is permitted only on the 11th day of a month after expiration of the minimum term; earlier cancellation is not accepted.

The Program is provided entirely on a prepaid basis. If payment cannot be confirmed, provision shall be temporarily suspended and shall resume when payment is confirmed. Full fees remain payable without proration regardless of days used, as affiliate staffing and recruitment capacity restrictions continue to be maintained during suspension.

Cooling-off

Membership fees under the Program shall not be refunded, returned, reduced or transferred in any form. Refund claims based on any reason for termination, failure to achieve results, business circumstances, environmental factors or Partner circumstances arising after joining are not permitted.

Membership fees are business-use fees covering access to the dedicated administration system, assignment and support of sales personnel, and eligibility to participate in service sales projects, such as map search optimization services and website production. They are not intended as payment for the purchase of referral rights.

Overdue Program fees may incur late payment damages at 3% per annum. If arrears exceed two months, the Service shall be suspended and unpaid amounts shall continue to accumulate.

Article 11 OEM Usage Fees and Initial Costs

1. The initial fee under an OEM agreement is a lump sum of USD 4,500 or JPY 640,000, payable upon execution of the agreement.

2. Following payment, the Company shall establish an OEM Partner-specific branded environment, configure servers, assign a manager and perform related setup activities.

3. The initial fee is non-refundable after contracting, regardless of the reason.

Article 12 Monitoring

The Company may, in its sole discretion, monitor whether Partners and Advertisers use the Program appropriately under this Agreement and whether violations or misconduct have occurred.

If the Company determines through monitoring that a Partner or Advertiser has engaged, or is highly likely to have engaged, in misconduct in breach of this Agreement, it may refuse all or part of remuneration payments and immediately cancel their Program registration without prior notice. Partners shall not object.

If the Company becomes aware of serious misconduct, it may file a criminal complaint against the Partner or Advertiser it considers highly likely to have committed that misconduct. If a third party claims damages against that Partner or Advertiser in connection with the misconduct, the Company shall provide and disclose registered information. Partners and Advertisers shall not object.

Monitoring under this Article is undertaken at the Company’s sole discretion and shall not be construed as imposing an obligation on the Company in any respect.

Article 13 Interruption and Suspension of the Program

When reviewing or maintaining the Program’s administration or maintenance arrangements, or changing its content to improve the Service, the Company shall notify Partners and Advertisers by email, publication on a website it operates or manages, or other means.

If any of the following circumstances occurs, the Company may, in its sole discretion, temporarily interrupt or suspend all or part of the Program without prior notice to Partners or Advertisers. The Company shall not be liable, for any reason, for any resulting disadvantage or loss suffered by Partners, Advertisers or third parties.

All or part of the Program becomes unavailable or fails to function due to communications failures, natural disasters, fires, strikes, floods, epidemics, riots, war, terrorism or related factors.

All or part of the Program becomes unavailable or fails to function due to system defects, third-party hacking, cracking or other interference with the Program, or similar circumstances.

Updates or system changes to social media services, Google, Yahoo or other third-party platforms impede provision of the Company’s services.

Membership payments cease or become overdue, or an application to cancel the Program is made.

The Company decides, in its sole discretion, to suspend operation of the Program.

Article 14 Warranties Regarding the Program

The Company does not guarantee that Partners will earn remuneration through the Program.

The Company does not guarantee any particular income, results or number of customers through the Program. All results depend on Partners’ own sales efforts and business circumstances.

Although the Company shall use its best efforts to keep the Program free from viruses and other harmful content and to maintain effective security, it gives no express or implied guarantee of perfection.

Article 15 Exclusion of Liability for Loss

The Company shall not be liable to compensate Partners or Advertisers for losses arising from the Program or services provided by the Company.

The Company’s services may be changed or discontinued without notice due to developments over time, users’ operating environments, including devices and operating system versions, or specification changes to social media, YouTube, Google or other platforms. The Company shall not bear responsibility arising between its service users and Partners in such circumstances.

If Partners or Advertisers cause damage to a third party through the Program, they shall resolve the matter at their own responsibility and shall not cause any loss to the Company.

If liability is alleged because a Referred Customer uses the Company’s services under a misunderstanding or for similar reasons, the Company shall not be liable for compensation and the Partner shall promptly resolve the matter.

As its name indicates, this agency program is a service exclusively for business use. Applications for personal use are prohibited because administration screens are issued and personnel are assigned for each business use. Applicants agree that personal use shall incur a contractual penalty of JPY 400,000.

The exclusions and limitations of liability in these Terms, including this Article, do not apply to loss caused by the Company’s own intentional misconduct or gross negligence, or to liability that cannot be excluded under applicable mandatory law. Article 9-2 prevails with respect to liability relating to the PR Listing Feature.

Article 16 Scope of Responsibilities

Partners and Advertisers shall bear one or more of the following obligations according to their contract type.

Conducting online affiliate promotional activities directed at customers and referring customers to the Company.

Handling customer problems and providing emergency support and similar assistance.

Article 17 Cancellation of Registration

Partners and Advertisers may cancel their Program registration by following the procedures separately specified by the Company. Cancellation shall be carried out as described in “here”.

If the Company determines that a participating Partner or Advertiser falls within any of the following circumstances, it may cancel their status and Program registration without prior notice or demand.

Their affiliate activities, including online activities, breach any provision of this Agreement.

They fail to respond to any notifications or communications sent by the Company by email for one month or more.

Article 18 Prohibition on Assignment of Rights and Obligations

Partners and Advertisers shall not assign or transfer their contractual status, rights or obligations under this Agreement to any third party, or provide them as security, without the Company’s prior consent obtained through the method separately specified by the Company.

Article 19 Amendments to the Agreement and Conditions

The Company may, in its sole discretion and without the consent of Partners or Advertisers, change or amend this Agreement and all related agreements, rules and equivalent provisions. The amended Agreement shall apply to all relationships between the Company and Partners or Advertisers.

Article 20 Changes to and Discontinuation of the Program

The Company may change or discontinue all or part of the types and content of the Program (collectively, “Changes”). The Company shall not be liable for any loss suffered by Partners or Advertisers as a result of such Changes.

If the Company discontinues the Program under the preceding paragraph, it shall notify Partners and Advertisers in advance or, in an emergency, afterward.

Article 21 Governing Law and Jurisdiction

These Terms are governed by the laws of the UAE. The courts in Dubai, UAE shall have exclusive agreed jurisdiction at first instance over all disputes arising out of or relating to these Terms.

Notwithstanding the preceding paragraph, where a user is a corporation or individual outside the UAE, disputes shall be finally resolved under the then-current Rules of Arbitration of the International Chamber of Commerce (the “ICC Rules”) by one or more arbitrators appointed in accordance with those rules, with the arbitration administered by the ICC International Court of Arbitration.
